Master Agreement covering Terms of Service, Privacy, and Financial Liability
1. MASTER SUBSCRIPTION AGREEMENT (TERMS OF SERVICE)
Effective Date: 15 Feb 2026
Owner/Operator: Aditya Divte Production ("Company", "We", "Us")
1.1 ACCEPTANCE: By subscribing to, accessing, or using the ClgEdu ERP Service, the Educational Institution ("Client", "Subscriber") agrees to be strictly bound by these terms. If you do not agree, do not use the Service.
1.2 MODIFICATIONS (FUTURE UPDATES)
The Company reserves the right to modify, update, or replace these Terms and Conditions at any time without prior specific notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
1.3 THIRD-PARTY INFRASTRUCTURE DISCLAIMER
Backend Services: The Service is built upon Supabase and any third-party cloud providers (AWS/Google Cloud).
No Liability: Aditya Divte Production is NOT liable for downtime, data latency, security breaches, or data loss caused by the failure or negligence of these third-party providers.
App Stores: We are not responsible for delays in app publishing caused by Apple App Store or Google Play or any third party app / softwere/ application / erp publish center Store review policies.
1.4 STABILIZATION PERIOD (The "90-Day Rule")
The Client acknowledges that ERP implementation requires time to stabilize.
Months 3 (Setup): Non-Payable (Free) strictly for data entry, configuration and custimization, online display of app and erp.
Months 2-4 (Stabilization): The Client agrees NOT to claim damages, refunds, or breach of contract for minor bugs or syncing issues during the first 90 days of "Live" usage. our company can extend required time duration as per situation
2. SUBSCRIPTION PLAN SPECIFICATIONS

Minimum Contract: All plans carry a mandatory **1-Year Minimum Contract**. Early cancellation requires payment of the full year's fees. All fees paid are **Non-Refundable**.
3. STUDENT DATA PRIVACY POLICY
Applicable To: Students and Parents using the ClgEdu App.
3.1 DATA COLLECTION
To generate results and ID cards, we process: Name, Roll No, DOB, Gender, Photo, Marks, Attendance, and Fee Status. This data is uploaded by your College Administration.
3.2 WHO SEES YOUR DATA?
Parents: Can track attendance and marks via the Parent App.
Your College Staff, management and Aditya Divte Production Supabase thirdparty database servise provider : Have full read/write access to your academic records.
Ad Networks (Basic Plan / Pro Plan): Third-party ad networks (e.g., Google AdMob) may access your Device ID to show advertisements. We do NOT share your marks or photos with advertisers.
3.3 DATA SECURITY
Your data is stored on secure cloud servers (Supabase). While we use encryption, Aditya Divte Production is not liable for data leaks caused by College Admins sharing passwords or hacking events, viras attack, theft, crash, .
4. FINANCIAL LIABILITY & FRAUD POLICY
CRITICAL: Aditya Divte Production is a Software Developement Company / Production House / Service Provider, NOT a Bank. We do not hold or process your money.
4.1 ROLE OF ERP
ClgEdu ERP acts only as a technical bridge to Payment Gateways (Razorpay/Paytm). Money flows directly from Student → Gateway → College Bank Account.
4.2 NO LIABILITY FOR FAILED TRANSACTIONS
The College agrees that Aditya Divte Production is NOT liable for:
Failed, pending, or "stuck" transactions due to bank server downtime.
Money deducted from students but not credited to the College.
Fraud, Phishing, or OTP scams targeting the College Admin.
Wrong Bank Account details entered by the College Admin.
Failed, pending, or "stuck" and amount hold of transactions.
4.3 SOLE REMEDY
The College's sole remedy for financial disputes is to contact the **Payment Gateway Provider** directly.
CRITICAL FINANCIAL TERM: All subscriptions for ClgEdu ERP are sold on a strict Pre-Paid Annual Basis. Post-paid or monthly payment options are NOT available unless explicitly authorized in a separate written contract.
5.1 MANDATORY ONE-YEAR CONTRACT (LOCK-IN PERIOD)
By purchasing a subscription, the Educational Institution ("Client") agrees to a mandatory Lock-in Period of One (1) Year (12 Months) from the date of activation.
No Partial Cancellation: The Client cannot cancel the subscription after 3 months, 6 months, or any duration less than 1 year.
Liability for Full Term: Even if the Client chooses to discontinue using the Software mid-year, they remain liable for the full 12-month subscription cost.
5.2 100% ADVANCE PAYMENT RULE
To activate the Service, the Client must adhere to the following payment schedule:
Upfront Payment: The Client must pay 100% of the Annual Subscription Fee (for 12 months) + applicable GST IN ADVANCE before the account is activated.
Service Activation: The ERP setup, app generation, and training will commence ONLY after the payment is credited to Aditya Divte Production’s bank account. Cheque presentation or screenshot of transfer is not sufficient proof of credit.
5.3 NO REFUND POLICY (STRICT)
Once the payment is processed and the account setup has begun (even if no students have logged in yet), the fees paid are NON-REFUNDABLE under any circumstances, including but not limited to:
Change of mind by the College Management or Trustees.
Lack of usage by students or staff.
Lack of Students.
Closing down of the institution.
Disagreement with features that were already described in the Demo.
Poor or None Internet service in your Area/city/village.
5.4 RENEWAL & PRICE PROTECTION
The Advance Payment covers the subscription for exactly 365 days.
Renewal Notice: The Client must pay the renewal fee 15 days before the expiry of the current term to avoid service interruption.
Price Hikes: Aditya Divte Production reserves the right to increase subscription prices for the next renewal term.
5.5 SUBSCRIPTION MIGRATION PERIOD
Upon electing to migrate to a different subscription tier, a transition period of three (3) months is required for the new plan to become fully effective.
During this conversion period, existing service limitations may still apply.
Full implementation of the new plan’s features and pricing will be finalized at the conclusion of the 90-day window.
5.6 ACCEPTANCE OF APPLICATION FUNCTIONALITY
By using the Service, the Client acknowledges and agrees to the following regarding the application’s operation:
The Client accepts the current functionality and operational workflow of the application as provided.
The Client agrees that the application is fit for its intended purpose and acknowledges the standard workflows established by the Company.
Any modifications or deviations from the standard workflow are subject to the Company’s prior written approval and may incur additional fees.
Any customized plan created specifically for you, or any additional feature added as per your request, will still be considered a company-developed feature. The company reserves the right to offer or sell such features to other colleges or clients.
5.7 MODIFICATIONS TO SERVICES AND PRICING
The Company reserves the right to modify the Service and its associated pricing at its sole discretion:
The Company may add, update, or remove features within any subscription plan at any time to enhance the Service.
The Company reserves the right to adjust subscription pricing to reflect the inclusion of new features or changes in operational costs.
Any changes to pricing for existing subscriptions will take effect upon the next renewal cycle, following a 30-day prior notice to the Client.
5.8 IMPACT OF PRICING ADJUSTMENTS ON ADVANCE PAYMENTS
Any adjustments to subscription pricing, whether due to feature enhancements or operational changes, shall apply to all subsequent billing cycles:
Updated pricing will directly affect the Advance Fee for the next one-year (1) renewal term.
Clients will be notified of any pricing changes at least thirty (30) days prior to the automatic renewal date.
The Advance Fee due for the subsequent year will be calculated based on the prevailing rate at the time of renewal.
6. DISCONTINUATION & MANDATORY NOTICE PERIOD
STRICT NOTICE REQUIREMENT: To discontinue the Service, the Client must provide One (1) Year's Prior Notice. Immediate cancellation is NOT permitted under this Agreement.
6.1 THE "365-DAY" NOTICE RULE
The Client acknowledges that ClgEdu ERP requires significant server resources and data retention planning. Therefore, if the Client wishes to discontinue or stop using the Service, they must submit a formal "Request for Discontinuation" in writing to Aditya Divte Production exactly 365 Days (1 Year) before the intended date of stopping the service.
6.2 APPROPRIATION OF ADVANCE PAYMENT
Upon receiving the Discontinuation Notice:
Advance Adjustment: The One-Year Advance Payment already made by the Client for the current active term shall be treated as the fee for this mandatory notice period.
No Refunds: Since the notice period is 1 year, and the payment is for 1 year, the Advance Payment will be fully utilized to cover the service costs until the termination date. No portion of the Advance Payment will be refunded.
Service Continuation: The App and ERP will remain fully active according to your selected subscription plan for the students during this 1-year notice period until the prepaid balance is exhausted.
6.3 AUTOMATIC RENEWAL (FAILURE TO NOTIFY)
If the Client fails to provide the mandatory 1-Year Notice before the expiration of the current term:
The Subscription shall Automatically Renew for another 1 Year.
The Client will be legally liable to pay the Advance Fee for the subsequent year.
7. DISPUTE RESOLUTION & FAMILY PROTECTION
LEGAL WARNING: This section limits your right to sue and dictates exclusive jurisdiction.
7.1 EXCLUSIVE JURISDICTION (NAGPUR ONLY)
The Client (Institute/Sanstha), Students, and Users agree that all disputes, criminal complaints, civil suits, or privacy matters shall be subject to the EXCLUSIVE JURISDICTION of the courts located in NAGPUR, MAHARASHTRA, INDIA.
You expressly waive the right to file an FIR or Civil Suit in any other city or state.
7.2 WAIVER OF PERSONAL LIABILITY (FAMILY PROTECTION)
The Client acknowledges they are contracting with "Aditya Divte Production" (the Entity) and NOT any individual personally. To the fullest extent permitted by law, the Client WAIVES ANY RIGHT to file personal lawsuits or harassment complaints against:
Aditya Divte (Owner/Individual)
His Immediate Family Members (Parents, Spouse, Siblings)
His Personal Assets or Estate
Any liability shall be strictly limited to the business assets of the Company.
7.3 MANDATORY ARBITRATION
Before filing any case, parties must undergo Mandatory Arbitration with a Sole Arbitrator appointed by the Company. The seat of arbitration shall be Nagpur.
7.4 INDEMNIFICATION
The Client agrees to indemnify and hold harmless Aditya Divte Production from any lawsuits filed by students, parents, or third parties regarding data privacy, marks discrepancies, or app misuse.
7.5 ANTI-HARASSMENT & ZERO TOLERANCE
Aditya Divte Production reserves the right to Terminate Service Immediately (without refund) if:
The Client, Sanstha Trustees, or Staff engage in verbal abuse, threats of violence, "fighting," or physical intimidation against the Company’s owner or employees.
The Client files false or frivolous police complaints to pressure the Company for free services or refunds.
